A subscription, one Seat per artist. Version 2.0, effective on the release of Studio Pipeline 2.0.
Prices and Tiers are on the pricing page, and what activation sends is in the privacy policy. Neither lives in the licence on purpose: on a page they stay a page edit, in a contract they become an amendment. Every version published before 2.0 keeps its Business Source License grant permanently. That is section 6.
STUDIO PIPELINE END USER LICENSE AGREEMENT
Version 2.0. Effective on the day Studio Pipeline 2.0 is published, and applying to Studio Pipeline 2.0 and every later version. FabricatorStudio LLC, Westminster, Colorado.
This Agreement is between you and FabricatorStudio LLC (“FabricatorStudio”, “we”, “us”). It covers the Studio Pipeline: the FabricatorStudio tools for Autodesk Maya, FS Control Rig - Unreal, and the updates and documentation we provide with them.
By installing or using the Studio Pipeline you agree to it. If you do not agree, do not install or use it.
This Agreement does not cover versions of the FabricatorStudio toolset published before 2.0. Those were published under the Business Source License 1.1 and they stay there, permanently. Section 6 says so in full, and nothing in this Agreement reaches back to change what you already hold.
1. Plain summary
This summary is not the agreement. Sections 2 through 25 are. We include it because you should know what you are agreeing to before you read it.
The Studio Pipeline is a subscription, and every artist who uses it needs a Seat. There is no revenue threshold and no studio-size test: a one-person studio and a five-hundred-person studio are charged the same way, per artist. Prices and what each tier includes are published at fabricator.studio.
It renews automatically until you cancel it, at the interval you chose. You cancel in the billing portal, in one place, at any time, and you keep what you have paid for until that period runs out. Section 4 is the whole of it, including refunds.
Everything you make is yours. Not conditionally, and not only while you are subscribed. Yours, with no attribution required, permanently. Section 7 survives everything else in this document.
Nothing you have made is taken away when a subscription ends. No file is deleted, nothing is disabled remotely, and rigs you have already built keep opening and animating, because a Fabricator rig is ordinary Maya nodes and does not need us or the Studio Pipeline to work.
What does stop is the Studio Pipeline itself. Without a current Seat it does not load: no toolbar, no tool menu, no shelves, no hotkeys. What is left is the screen you sign in on. Section 3.6 says it exactly and section 5 says what it does and does not touch.
The Studio Pipeline contacts our servers to check licensing. It does not send us your scenes, your rigs, your meshes, or your work. It keeps working for thirty days when it cannot reach us, so an outage on our side does not stop yours.
2. Definitions
“Studio Pipeline” means the FabricatorStudio tools for Autodesk Maya, FS Control Rig - Unreal, the Advanced Ribbon Modules, and any updates, components or documentation we supply with them. It does not mean Armature, which is a separate application under its own agreement.
“Armature” means the Armature desktop application, which is licensed separately under the Armature End User License Agreement published at fabricator.studio.
“You” means the individual accepting this Agreement and, where you use the Studio Pipeline for the benefit of an organization, that organization and its Affiliates.
“Affiliate” means any entity that controls, is controlled by, or is under common control with another entity, where control means holding more than fifty percent of voting interests.
“Seat” means a subscription entitling one named individual to use the Studio Pipeline at a Tier.
“Tier” means one of the named subscription levels published at fabricator.studio. A Tier determines which parts of the Studio Pipeline your Seat unlocks.
“Account” means the FabricatorStudio account through which Seats are held and licensing is verified.
“Activation” means the process by which the Studio Pipeline verifies a Seat with our servers and receives a licence token.
“Billing Period” means the recurring interval you selected when you subscribed, for example weekly, monthly, or yearly.
“Payment Processor” means Stripe, which sells Seats to you as merchant of record. Section 4.1 explains what that means for you.
“Your Output” means anything you produce using the Studio Pipeline, including rigs, control shapes, skin weights, skeletons, poses, animation, exported files, project configurations, and any assets you supply.
“Prior Versions” means every version of the FabricatorStudio toolset published before Studio Pipeline 2.0, each of which was published under the Business Source License 1.1.
3. Subscriptions and Seats
3.1 The grant. Subject to this Agreement and to a current, paid Seat, we grant you a non-exclusive, non-transferable, worldwide license to install and use the Studio Pipeline at the Tier your Seat carries, for the duration of your subscription.
3.2 A Seat is one artist. A Seat is for one named individual. Seats may not be shared, pooled, or used concurrently by more than one person. You may reassign a Seat to a different individual when the original holder no longer needs it, for example when they leave or change role. There is no waiting period on a reassignment and no limit on how many times you may do it.
Everyone who uses the Studio Pipeline commercially needs a Seat, at every size of organization. There is no revenue threshold in this Agreement and no free tier. This is a deliberate change from Prior Versions, and it is why section 6 exists.
3.3 Devices. One Seat may be activated on two devices that the Seat holder personally uses. Deactivating a device frees its slot for another. We may change the number of devices a Seat carries; if we reduce it, the change applies from your next renewal and never inside a period you have already paid for.
3.4 Tiers and what they unlock. The Tiers, their prices, their Billing Periods, and what each one unlocks are published at fabricator.studio and are incorporated into this Agreement by reference. Your Seat unlocks what your Tier carries and nothing else.
3.5 If we change what a Tier unlocks. We may add capabilities to a Tier at any time. If we move a capability out of the Tier you hold, you keep it for the remainder of the Billing Period you have already paid for, and we will tell you before the renewal that changes it. You may cancel before that renewal under section 4.3 and owe nothing further.
3.6 What runs without a Seat, stated plainly. Almost nothing, and we would rather you read that here than discover it after paying.
Without a current Seat the Studio Pipeline does not load. No toolbar, no tool menu, no shelves, no hotkeys, no marking menu, and no project configuration applied to your Maya session. What remains is the licence screen, and one menu row that reopens it if you close it. That row is the door you sign in at; it is not a tool and it opens nothing else.
The installer and the uninstaller work without a Seat, because you need the first to install the software and the second to remove it cleanly. Nothing else does.
This is a change from Prior Versions and it is deliberate. Under the Business Source License the whole toolset ran for free below a revenue threshold. From 2.0 there is no such threshold and no unpaid mode. Section 6 is what makes that honest: it does not reach back.
3.7 Organizations. Where you subscribe on behalf of an organization, you confirm you are authorised to bind it, and this Agreement binds it. An organization needs one Seat for each individual who uses the Studio Pipeline. Nothing in this Agreement licenses an organization as a whole.
3.8 Institutions. Any arrangement for an educational institution, or for any other institution seeking terms other than the published Tiers, is a separate written agreement. No such arrangement exists under this Agreement, and this Agreement grants none.
4. Billing, renewal, and cancellation
This section describes a recurring, automatically renewing subscription. Please read it.
4.1 Who you are paying. Seats are sold through Stripe as merchant of record. Stripe is the seller of record for the transaction: it takes the payment, it issues the receipt, and it registers for, collects, and remits sales tax and VAT where those are due. FabricatorStudio is the licensor of the software and the party granting you the rights in this Agreement.
In practice this means your payment relationship, which is the card on file, the invoices, the billing portal and the cancellation control, is with Stripe, and your licence is from us. We tell you this because it is where your money actually goes, and because the billing portal you cancel in is Stripe’s, reached from your Account at fabricator.studio.
4.2 Automatic renewal. Your subscription renews automatically at the end of each Billing Period, at the then-current price for your Tier, using the payment method on file, and it keeps renewing until you cancel it. A weekly Seat is charged every week. A monthly Seat is charged every month. A yearly Seat is charged every year. The amount, the interval, and the next charge date are shown to you before you subscribe, on your receipt, and in the billing portal at any time afterwards.
4.3 Cancelling. You may cancel at any time, for any reason, from the billing portal reached through your Account at fabricator.studio. There is no cancellation fee, no notice period, and no requirement to contact us first.
Cancelling stops the next charge. It does not end the period you have already paid for: your Seat stays live until the end of the current Billing Period, and then stops. We do not refund the remainder of a period on cancellation, except where section 4.7 or your statutory rights under section 24 say otherwise.
4.4 Price changes. We may change our prices. A change never affects a Billing Period you have already paid for. We will tell you before a renewal at a new price, with enough notice for you to cancel first if you would rather not pay it.
4.5 Failed payments. If a payment fails, the Payment Processor will retry it over a short period and tell you. If it is not resolved, the Seat lapses under section 5. A lapse is not a breach of this Agreement, and no debt is created by it.
4.6 Changing Tiers. Where the billing portal offers it, you may move between Tiers. Moving up takes effect immediately, with the price difference charged at the time. Moving down takes effect at the end of your current Billing Period, so you keep the Tier you paid for until it runs out. Tier changes are not offered on yearly Billing Periods.
4.7 Refunds. Ask by replying to your receipt, or by emailing licensing@fabricator.studio. Our refund policy, which is in addition to any statutory right you have under section 24:
- Monthly Seats: fourteen days. Ask within fourteen days of your first charge and we will refund it.
- Yearly Seats: thirty days. Ask within thirty days of your first charge and we will refund it.
- Weekly Seats: no refund window. A weekly Seat cancels into a period of at most seven days, which is why it carries none. Cancelling stops the next charge immediately.
- First purchase only. These windows apply to your first purchase of a Seat, not to renewals and not to a later repeat subscription.
- Seats sold under a separate written agreement are refunded under that agreement, not under this section.
A refund ends the Seat it refunded. A charge that is fully refunded, or that is charged back through your card issuer, cancels the corresponding Seat.
4.8 Taxes. Prices are shown exclusive or inclusive of tax as displayed at checkout. Sales tax and VAT are handled by the Payment Processor as merchant of record under section 4.1.
5. What happens when a subscription ends
This section applies when a Seat lapses, is cancelled, is refunded, or is otherwise no longer current.
5.1 Nothing is deleted, and nothing is disabled remotely. We do not delete your files, we do not reach into your machine, and there is no remote kill switch in the Studio Pipeline. We will not add one.
5.2 Your existing work keeps working. A rig built with the Studio Pipeline is made of ordinary Maya nodes. It opens, it animates, it exports through Maya, and it does not ask us for permission. Scenes, rigs, and files you have already produced are unaffected by a lapse, permanently.
5.3 What stops. The Studio Pipeline stops loading, as section 3.6 describes. The licence screen remains, so you can subscribe again at any time and everything comes straight back; nothing has to be reinstalled and nothing has to be recovered.
5.4 Nothing else stops. The effect is on the software running, and on nothing you own.
5.5 Your project configurations stay put. They live outside the install tree and are not removed by a lapse, an update, or an uninstall.
6. Versions published before 2.0
Every version of the FabricatorStudio toolset published before Studio Pipeline 2.0 was published under the Business Source License 1.1, and it stays under that licence permanently. Your rights in those versions are the rights that licence gave you, including its Additional Use Grant and including its conversion to the Change License named in that file, on the change date stated in it. Nothing is clawed back, and this Agreement does not reach them.
If you hold a Prior Version, you may keep using it under its own terms for as long as you like. You do not need a Seat to do so. You need a Seat to use Studio Pipeline 2.0 or later.
Advanced Ribbon Modules purchased separately before 2.0 stay owned under the licence they were sold with. From 2.0 the Advanced Ribbon Modules are part of the subscription at the Tiers that carry them, and are no longer sold separately.
7. Your Output is yours
We claim no ownership of Your Output and no rights in it. Everything you make with the Studio Pipeline belongs to you. You may use, sell, license, distribute, and modify Your Output freely, including commercially. No attribution to FabricatorStudio is required, in your work, your credits, or anywhere else.
Nothing in this Agreement gives us any license to the assets you load into the Studio Pipeline.
This section survives everything. It is not affected by termination, by a cancelled or lapsed subscription, by a refund, by a revoked Seat, or by our ceasing to operate. A rig you built while subscribed does not become ours, and does not become encumbered, when you stop paying.
8. Accounts
8.1 When an Account is required. An Account is required to hold a Seat, and a Seat is required for the Studio Pipeline to load at all. Installing and uninstalling need no Account.
8.2 Signing in. We do not use passwords. You sign in with a one-time code sent to your email address. You are responsible for the security of that email account and for activity under your Account. Tell us promptly if you believe your Account has been compromised.
8.3 What we collect. Account creation and licensing collect the information described in our privacy policy, published at fabricator.studio. We collect what is needed to operate Accounts, Seats, and licensing.
8.4 Deleting your Account. You may delete your Account by the method described in the privacy policy. Deleting your Account does not affect Your Output, which remains yours under section 7. Deleting an Account that has a live subscription does not by itself cancel the subscription; cancel it under section 4.3.
9. Activation and licence verification
9.1 The Studio Pipeline contacts our servers. It communicates with FabricatorStudio servers to authenticate your Account, to activate a device against your Seat, and to obtain and refresh the licence token that unlocks your Tier. You consent to this communication as a condition of using the parts of the Studio Pipeline that require a Seat.
9.2 What is transmitted. Activation transmits your Account or session identifier, an identifier for the installation and device sufficient to enforce section 3.3, the product, and the application version. It does not transmit your scenes, meshes, rigs, skin weights, animation, exported files, project files, or any other content you create or load.
9.3 It keeps working when we cannot be reached. The licence token carries a grace window of thirty days, refreshed each time the Studio Pipeline successfully reaches our servers. Within that window the Studio Pipeline continues to work normally with no network access at all. A network fault, a firewall, an offline machine, or an outage on our side does not stop your work.
9.4 No remote disable. We do not operate a remote disable, wipe, or kill switch, and we will not build one. When a Seat ends, section 5 describes the entire effect, and it takes effect by a licence token not being renewed rather than by anything reaching your machine.
9.5 Restricted networks. If you need to run the Studio Pipeline on a machine that cannot reach the internet at all, email licensing@fabricator.studio before purchasing. We do not currently issue offline licence files, and we would rather tell you that before you pay than after.
10. The AI panel
The Studio Pipeline includes an optional AI panel. It does nothing unless you supply your own API key for a third-party model provider, in your own environment.
When you use it, your prompts and the scene information the panel reads are sent directly from your machine to that provider, under your own account with that provider and under that provider’s terms and privacy policy. FabricatorStudio is not in that path: we do not receive, route, store, or see any of it, and we never receive your API key. We do not write your API key to disk, to Maya preferences, or to any file.
The panel reads your scene; it does not modify it. Model output is generated text and may be wrong. Section 18 applies to it in full, and you are responsible for what you do with it.
11. Updates
We may provide updates. We are not obliged to. Updates are covered by this Agreement unless they come with their own terms. The Studio Pipeline may check whether an update exists and will tell you when one is available; installing it is your decision.
12. Support
Support is provided on a best-effort basis through our public channels. Some Tiers carry priority support, which means your ticket is looked at first. No Tier carries a guaranteed response time, and nothing in this Agreement or on our website is a service level agreement. Any separate support agreement is a different contract.
13. Restrictions
You may not:
a. remove, obscure, or alter any copyright, trademark, or other proprietary notices in the Studio Pipeline; b. rent, lease, lend, sell, sublicense, or provide the Studio Pipeline as a hosted or managed service to third parties; c. circumvent, disable, or interfere with Activation, the licence token, or any entitlement check, or use a Seat, token, or credential you were not issued; d. share, publish, or resell Account credentials or a licence token; e. use one Seat for more than one individual, or exceed the device count in section 3.3 by technical means; f. reverse engineer, decompile, or disassemble the Studio Pipeline, or attempt to reconstruct the source of any component we supply in compiled form; g. represent that you created the Studio Pipeline, or use it in a way that suggests FabricatorStudio endorses your work.
Paragraph (f) does not apply where applicable law grants you a right that cannot be excluded by agreement, including, for users in the European Union and the United Kingdom, the right to decompile for interoperability purposes on the statutory conditions. It also does not apply to third-party components governed by their own licenses under section 16, or to Prior Versions, which were published as readable source under the licence section 6 preserves.
Nothing in this section restricts what you do with Your Output.
14. Ownership
The Studio Pipeline is licensed, not sold. FabricatorStudio retains all right, title, and interest in it, including all intellectual property rights. This Agreement grants no rights except those stated in section 3.
15. Trademarks
This Agreement grants no rights to use the FabricatorStudio, Fabricator, Studio Pipeline, Armature, Bridge, or FS Control Rig names, logos, or trade dress. You may state truthfully that you used the Studio Pipeline.
16. Third-party components and host applications
The Studio Pipeline includes and works alongside third-party components, each governed by its own license rather than by this Agreement. Where a term of this Agreement conflicts with the license of a third-party component, that component’s license governs that component.
What we distribute. The third-party library we ship inside the package carries its own
licence text beside it in the install tree: PyYAML, under the MIT licence, at
maya_tools/_vendor/yaml/LICENSE.
What you obtain yourself. The machine-learning skinning tools need solver packages that we
do not ship. You install them on your own machine, from their own publishers, at the moment
you first use one of those tools, and they arrive under their own licences. DEPENDENCIES.md
in the package names them and says exactly what the install runs. Because we do not distribute
them, we do not license them to you and we do not provide their source; it is available from
their publishers under their own terms. Nothing in this Agreement limits, restricts, or adds
any condition to any right you have under those licences.
Host applications are your own. The Studio Pipeline runs inside Autodesk Maya, and FS ControlRig runs inside Unreal Engine. Your licences for Maya and for Unreal Engine are between you and their publishers. Nothing in this Agreement grants, extends, restricts, or affects them, and you are responsible for holding whatever licence those applications require for the way you use them.
17. Term and termination
This Agreement runs from the day you first install or use the Studio Pipeline until terminated. It terminates automatically if you materially breach it and do not fix the breach within thirty days of us telling you about it.
We may suspend or revoke a Seat, a licence token, or an Account for breach of section 13(c), 13(d), or 13(e). Where we do, and where the breach is not deliberate, we will tell you what the problem is and give you a chance to fix it first.
Ending a subscription is not a termination of this Agreement, and its effects are described in section 5, not here.
On termination of this Agreement you must stop using the parts of the Studio Pipeline that require a Seat and remove them from your systems. Sections 5, 6, 7, 14, 15, 16, 18, 19, 20, 23, and 25 survive termination.
18. Warranty disclaimer
THE STUDIO PIPELINE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. We do not warrant that the Studio Pipeline or our servers will be uninterrupted or error free.
You are responsible for backing up your work.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FABRICATORSTUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE STUDIO PIPELINE.
OUR TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR SEATS IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS.
These limits apply even if a remedy fails of its essential purpose.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence. Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.
20. If we stop operating the licensing service
We will not let our own infrastructure be the thing that stops your work.
If we permanently cease to operate the licensing service, we will stop charging for Seats. That part is unconditional.
We will also use commercially reasonable efforts to make available an update, a licence file, or another means of removing the Activation requirement, so that the Studio Pipeline you are subscribed to at that time continues to run on the machines you already have it on.
We say commercially reasonable efforts rather than a flat promise for one reason, and it is not a hedge. The circumstance that triggers this section may be the one in which FabricatorStudio no longer exists to act, and a promise nobody is left to keep is worth less than an honest one. Nothing here reduces what we will do if we are able to.
This is a commitment about our shutting down. It is not a right to demand an unlock while the service is running.
21. Export control and sanctions
You may not use or export the Studio Pipeline in violation of United States export control or sanctions law, or the equivalent law of any other jurisdiction that applies to you. You confirm that you are not located in, and are not acting on behalf of anyone located in, a country or territory subject to comprehensive United States sanctions, and that you are not a person with whom United States persons are prohibited from dealing.
22. Changes to this Agreement
We may update this Agreement. The version you accepted continues to govern the version of the Studio Pipeline you have. A changed Agreement applies to versions published after the change, and to your subscription from your next renewal after we tell you about it. If you do not want to accept a change, cancel under section 4.3 before that renewal. We will publish the current version, and keep previous versions available, at fabricator.studio.
23. Governing law
This Agreement is governed by the laws of the State of Colorado, United States, without regard to its conflict of laws rules. The courts located in Colorado have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
24. Consumer rights
If you are a consumer, you may have rights under the law of your country that this Agreement cannot exclude or limit. Nothing here affects those rights, and where a term of this Agreement conflicts with them, your statutory rights apply. That includes any right of withdrawal, any statutory cancellation right, and any right to bring proceedings in the courts of your own country of residence, none of which section 23 is intended to remove.
Consumers in the European Union and the United Kingdom have a statutory right to withdraw from a distance contract for digital content within fourteen days. Where you ask us to supply the Studio Pipeline immediately and acknowledge that doing so ends that right, it ends. Where you have not, it stands, and it stands alongside the refund policy in section 4.7 rather than being replaced by it.
25. General
This Agreement, together with the Tier descriptions and prices published at fabricator.studio and incorporated by section 3.4, is the entire agreement between us about the Studio Pipeline and replaces any prior understanding about it. It does not replace the Business Source License 1.1 on Prior Versions, which section 6 preserves, and it does not cover Armature, which has its own agreement.
If any part of this Agreement is found unenforceable, the rest stays in force. Our failure to enforce a term is not a waiver of it. You may not assign this Agreement without our written consent, except to a successor of your entire business.
